Legal Counsel (Remote, Europe)

Job summary

This role involves serving as the primary contact for contracts management and global entity management within a lean legal team. The position is remote and can be full-time or part-time for highly experienced candidates. The Legal Counsel will be responsible for maintaining a contract repository, managing corporate records, and ensuring compliance across multiple jurisdictions.

Qualifications

• JD, LLM, or equivalent law degree.
• Experience in a corporate legal department focusing on corporate secretarial work or legal operations.
• Familiarity with jurisdictional requirements in Europe, China, India, and/or Australia.
• Strong proficiency in SharePoint, Microsoft Teams, and legal tech tools.
• Exceptional attention to detail and ability to work independently.

Responsibilities

• Build and maintain a contract repository, organizing all commercial agreements and tracking their status.
• Maintain corporate records for legal entities and track annual filing requirements.
• Coordinate with outside counsel for corporate governance matters and manage notarization processes.
• Support M&A activities and internal reorganizations, ensuring corporate documents are in place.
• Develop and optimize a comprehensive Legal SharePoint site for legal resources.
• Standardize legal templates for global consistency and manage relationships with outside counsels.

Skills

• Strong contract drafting and negotiation skills, including risk analysis.
• Familiarity with commercial terms such as indemnification and warranties.
• Ability to handle special projects and ad hoc legal matters as they arise.

Education

• JD, LLM, or equivalent law degree required.

Tools

• SharePoint, Microsoft Teams, and Contract Lifecycle Management (CLM) tools.
